NanoViricides, Inc. (NYSE American: NNVC) has entered into a securities purchase agreement with a single fundamental institutional investor for a registered direct offering expected to generate approximately $3.8 million in gross proceeds, before placement agent fees and other expenses. The offering involves the sale of 2,516,339 common shares, or pre-funded warrants in lieu thereof, along with warrants to purchase an equal number of common shares. Each full warrant carries an exercise price of $1.75 per share and expires five and a half years after issuance. The offering is anticipated to close on or about July 27, 2026, subject to customary closing conditions, with D. Boral Capital LLC serving as exclusive placement agent. Full details are available in the press release at https://nnw.fm/2qH5W.
This capital infusion comes as NanoViricides continues to advance its lead drug candidate, NV-387, a broad-spectrum antiviral designed to treat respiratory syncytial virus (RSV), COVID-19, long COVID, influenza, and other respiratory viral infections, as well as MPOX/smallpox and measles. The company is also developing NV-CoV-2, a nanoviricide drug candidate for COVID-19 that does not encapsulate remdesivir, and NV-CoV-2-R, which encapsulates FDA-approved remdesivir within its polymeric micelles. NanoViricides believes the latter could be an approvable drug if safety is comparable to remdesivir alone. The company is currently focused on advancing NV-387 into Phase II human clinical trials.
NanoViricides’ platform technology, based on TheraCour nanomedicine technology, targets a wide range of viral diseases, including oral and genital herpes, viral eye diseases, H1N1 swine flu, H5N1 bird flu, seasonal influenza, HIV, hepatitis C, rabies, dengue fever, and Ebola. The company holds exclusive perpetual licenses for several drug candidates targeting specific viruses. However, the path to drug development is lengthy and capital-intensive, with no assurance that any candidate will prove effective or safe in clinical trials.
The offering provides necessary funding to support these efforts, though the company notes that external collaborators and consultants influence timelines for regulatory filings. For more information about NanoViricides and its pipeline, visit https://nnw.fm/NNVC.
