G Mining Ventures Targets Late July Close for G2 Goldfields Acquisition

G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) and G2 Goldfields (TSX: GTWO) (OTCQX: GUYGF) have announced that the remaining closing conditions for their proposed plan of arrangement are expected to be completed by the end of July 2026, with the transaction expected to close shortly thereafter. The arrangement will see G Mining Ventures acquire all outstanding G2 shares while G2 completes the spinout of G3 Goldfields.

Under the terms of the arrangement, G2 shareholders will receive 0.212 of a G Mining Ventures common share and 0.5 of a G3 Goldfields common share for each G2 share held immediately prior to the effective date. Following the closing, G2 shares are expected to be delisted from the Toronto Stock Exchange and OTCQX. Meanwhile, G3 has applied to list its shares on the Canadian Securities Exchange, subject to meeting the exchange’s listing requirements.

This acquisition is significant for G Mining Ventures as it strengthens the company’s portfolio of precious metal projects. G Mining Ventures is engaged in the development, operation and exploration of precious metal projects, with a focus on capitalizing on the value uplift from successful mine development. The company is well-positioned to grow into the next mid-tier precious metals producer by leveraging strong access to capital and proven development expertise. Currently, G Mining Ventures is anchored in mining-friendly jurisdictions, including Brazil with the Tocantinzinho Gold Mine and the Gurupi Project, as well as Guyana with the Oko West Project.

The transaction also highlights the strategic value of G2 Goldfields’ assets and the creation of G3 Goldfields as a separate entity. For investors, this move provides an opportunity to participate in the potential upside of both G Mining Ventures and the newly formed G3 Goldfields. The spinout allows G3 to focus on its own exploration and development initiatives, while G Mining Ventures consolidates G2’s assets to enhance its production profile.

The completion of this arrangement is expected to bolster G Mining Ventures’ position in the precious metals sector, particularly in South America. The company’s expertise in mine development and its access to capital markets are key factors that could drive future growth. As the transaction moves toward closing, stakeholders will be watching for regulatory approvals and the satisfaction of remaining conditions.
