G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) has completed its acquisition of G2 Goldfields (TSX: GTWO) (OTCQX: GUYGF) through a court-approved plan of arrangement, marking a significant step in the consolidation of gold assets in Guyana. The transaction creates what the company describes as a large-scale, fully permitted and fully financed tier-one gold mining complex, combining the adjacent Oko West and Oko-Ghanie deposits. Under the arrangement, each G2 share was exchanged for 0.212 GMIN common shares and 0.50 common shares of G3 Goldfields, which was spun out as part of the deal.
The combination is expected to generate operational and capital synergies through shared infrastructure, optimized mine planning, greater processing capacity and enhanced operational flexibility. GMIN noted that the proximity of the deposits allows for the development of a unified mining complex, potentially reducing costs and improving efficiencies compared to standalone operations. GMIN also clarified that previously disclosed mineral resource estimates for the Oko-Ghanie Project should be considered historical estimates under NI 43-101 and not current mineral resources from GMIN’s perspective. The company will undertake additional geological modeling, data integration and drilling before issuing updated combined mineral resource estimates and a supporting technical report. Further technical studies are expected to culminate in a comprehensive report in 2027, which will provide a more detailed outlook on the project's potential.
