Edgewater Wireless Secures Strategic Investment from Silicon Catalyst Angels

Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions, has announced the closing of a private placement that includes a strategic investment from Silicon Catalyst Angels I, LLC (SCA). The investment marks the second strategically aligned semiconductor investor to back the company's Spectrum Slicing™ and PrismIQ™ roadmap, as Edgewater moves toward prototype validation and commercial engagements.

The private placement, which closed in two tranches, raised aggregate gross proceeds of $717,332.70. The second tranche, announced today, involved the issuance of 4,799,666 units at a price of $0.06 per unit for gross proceeds of $287,979.96. Each unit consists of one common share and one warrant, exercisable at $0.09 for two years. SCA's participation adds not only capital but also semiconductor expertise and industry connections, which are crucial for Edgewater's next phase of development.

Edgewater's Chairman, Brian Imrie, also increased his investment in this tranche, contributing $96,000. His continued financial backing underscores confidence in the company's technology and strategic direction. The funds will be used for semiconductor design, engineering, and product development related to the Spectrum Slicing™ prototype, as well as general working capital.

The relationship between Edgewater and Silicon Catalyst began in November 2024 when Edgewater was selected as a Silicon Catalyst Portfolio Company. Since then, the company has gained access to a vast ecosystem of industry experts and resources, including in-kind design and fabrication support valued at several million dollars. Nick Kepler, COO of Silicon Catalyst, serves as a Board Observer, further aligning strategic oversight.

"Experienced semiconductor investors understand where value can be created: when differentiated technology moves into visible execution," said Andrew Skafel, President and CEO of Edgewater Wireless. "SCA's direct investment is a validation of our novel approach and strengthens Edgewater's strategic investor base at an important point in our development."

The investment comes at a critical time for Edgewater as it advances its PrismIQ™ platform and next-generation Spectrum Slicing™ technology. The company is staging an initial product release in the first half of 2027, with upcoming milestones including prototype validation and partner demonstrations. As Wi-Fi evolves toward Wi-Fi 7 and beyond, where devices operate in congested spectrum, Edgewater's solution promises to deliver significant performance improvements.

According to the company, its patented Spectrum Slicing™ technology can deliver up to a 10x improvement in performance and up to 50% lower latency, even for legacy devices. This is achieved by enabling multiple concurrent channels in a single band, a breakthrough that addresses the growing demand for high-reliability connectivity in dense environments.

The private placement is subject to final acceptance by the TSX Venture Exchange, and the securities issued in the second tranche are subject to a statutory hold period until January 9, 2027. Imrie's participation constitutes a related party transaction, but the company expects to rely on exemptions from formal valuation and minority shareholder approval requirements as the fair market value of his participation does not exceed 25% of the company's market capitalization.

Silicon Catalyst Angels, established in 2019, provides seed and Series A funding to portfolio companies within the Silicon Catalyst ecosystem. Its members include seasoned semiconductor executives and investors who bring valuable strategic relationships. This investment not only provides capital but also positions Edgewater to leverage these connections for future partnerships and growth.

Edgewater Wireless is focused on redefining Wi-Fi from the silicon up, addressing the limitations of legacy Wi-Fi in congested environments. With 26 patents granted and 3 AI-related patents pending, the company is well-positioned to transform the economics of Wi-Fi for service providers, OEMs, and enterprises. The strategic investment from SCA is a testament to the potential of Edgewater's technology and its execution capabilities.
